Welcome to Nexum Space LIMITED (“Nexum,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your access to and participation in our exclusive, invitation-only investment group and use of our website, nexumspace.com (the “Platform”).
By registering for and participating in Nexum Space LIMITED, you (“Member,” “you,” or “your”) agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Platform or participate in our Group.
1. Nature of Nexum Space LIMITED
1.1. Exclusive Group: Nexum Space LIMITED is a Decentralized Autonomous Organization (DAO)-style project that operates as an exclusive, invitation-only group. Our primary aim is to identify and facilitate access for our Members to high-risk, potentially high-return investment opportunities (“Projects”).
1.2. Role of Organizers: The organizers of Nexum (“Organizers”) will endeavor to identify potential Projects and will facilitate the transfer of Members’ contributed capital (currently USDC, EURC and BTC) to the chosen Projects or the entities managing them.
1.3. No Financial, Legal, or Tax Advice: Information provided by Nexum, the Organizers, or on the Platform is for informational purposes only and should not be construed as financial, legal, or tax advice. You are solely responsible for making your own investment decisions and should seek independent professional advice before doing so.
1.4. DAO Principles: While Nexum operates with DAO principles in mind, such as aiming for a community-driven approach and seeking to operate outside traditional legal frameworks for dispute resolution where possible, the day-to-day operations and Project selection are currently managed by the Organizers. There are no formal voting mechanisms or governance tokens for Members at this time.
2. Membership and Eligibility
2.1. Invitation-Only: Membership in Nexum Space LIMITED is strictly by invitation only.

3. Investment Process
3.1. Capital Contribution: Members may contribute capital (e.g., USDC) for participation in selected Projects as communicated by the Organizers.
3.2. Facilitation of Investment: Nexum, through its Organizers, will facilitate the transfer of contributed capital to the entities or groups undertaking the selected Projects.
3.3. No Guarantees: All investments are speculative and involve a high degree of risk. Nexum and its Organizers make no guarantees or representations regarding the performance or success of any Project. Past performance is not indicative of future results.
4. Risks and Disclaimers
4.1. High-Risk Investments: You acknowledge and agree that investments in Projects facilitated by Nexum are inherently high-risk and speculative. You may lose all or a significant portion of your contributed capital. 4.2. No Liability for Losses: Nexum, its Organizers, affiliates, or any individuals associated with Nexum will not be liable for any investment losses incurred by Members. Investment decisions and their consequences are solely your responsibility. 4.3. Project Due Diligence: While Organizers will endeavor to select Projects they believe in, based on their own assessment, this does not constitute a guarantee of success or a full, exhaustive due diligence process equivalent to that of regulated financial institutions. Members are encouraged to conduct their own research. 4.4. Market Volatility: The value of cryptocurrencies (like USDC) and the performance of Projects can be highly volatile. 4.5. Regulatory Uncertainty: The regulatory landscape for cryptocurrencies, DAOs, and related investments is evolving and uncertain. Changes in regulations could adversely affect Nexum or the Projects. 4.6. Smart Contract Risks: If Projects involve smart contracts, they may be subject to vulnerabilities or errors. 4.7. “As Is” and “As Available”: The Platform and any information or services provided are offered on an “as is” and “as available” basis without any warranties of any kind, express or implied.
5. Role of Organizers
5.1. The Organizers are responsible for the operational aspects of Nexum, including identifying potential Projects, communicating with Members, and facilitating the transfer of capital.
5.2. Organizers will endeavor to communicate any discovered issues or significant updates regarding active investments to Members.
5.3. The Organizers do not act as financial advisors or fiduciaries to Members.
6. Limitation of Liability
To the fullest extent permitted by applicable law, in no event will Nexum, its Organizers, or its affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, resulting from (a) your access to or use of or inability to access or use the Platform or participate in the Group; (b) any conduct or content of any third party on the Platform or in relation to Projects; or (c) unauthorized access, use, or alteration of your transmissions or content.
7. Intellectual Property
All content on the Platform, including text, graphics, logos (such as the Nexum Space LIMITED logo), and software, is the property of Nexum or its licensors and is protected by copyright and other intellectual property laws.
8. Account Termination
8.1. By Nexum: We reserve the right to suspend or terminate your membership and access to the Platform at our sole discretion, without notice, for any reason, including but not limited to a breach of these Terms.
8.2. Inactive Accounts: If a Member's account has a zero balance and zero portfolio value for a continuous period of six (6) months, Nexum may deem the account inactive and terminate it.
9. Amendments to Terms
We reserve the right to modify these Terms at any time. If we make changes, we will provide notice of such changes, such as by sending an email notification, providing notice through the Platform, or updating the “Last Updated” date at the beginning of these Terms. Your continued participation in Nexum after such notice constitutes your acceptance of the modified Terms.
10. Governing Law and Dispute Resolution
10.1. Intention: These Terms and your participation in Nexum are intended to operate within the framework of a DAO-style project, emphasizing community consensus and seeking to resolve disputes amicably and internally where possible, with the understanding that legal recourse may be limited or unavailable.
10.2. Informal Resolution: We encourage you to contact us if you have any concerns or disputes. We will attempt to resolve disputes informally.
10.3. No Class Actions: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
11. Miscellaneous
11.1. Entire Agreement: These Terms constitute the entire agreement between you and Nexum regarding your participation in the Group.
11.2. Severability: If any provision of these Terms is held to be invalid or unenforceable, that provision will be struck, and the remaining provisions will remain in full force and effect.
11.3. No Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.
